The service

1.1 codanomiq lets you build, publish and run websites and the services around them. We host what you publish, keep it running, back it up and update the software behind it. Where the proposal or order agreed with you includes them, the service also covers connecting your site to systems you operate (such as a CRM, accounting software or an advertising account) and managing your advertising, as described in that proposal or order.

1.2 We may change the platform - add tools, change how a screen works, retire a feature that has been replaced - and we will tell you about changes that affect what you can do, through the change log in your admin. We will not remove a capability you are paying for without a reasonable alternative or a refund of the unused part of your fee.

1.3 Some tools are offered on a trial, in preview, or as a paid add-on. Where that is the case, the admin says so, and those tools may be withdrawn or changed with less notice than the rest of the service.

1.4 Order of precedence. If documents that make up our agreement conflict, they apply in this order: first the proposal or order agreed with you; then, on data protection matters, the processing terms (see 7.1); then the rest of these terms.

1.5 Subcontractors and AI tools. We may use subcontractors and AI-assisted tools to provide the service. Subcontractors are bound by confidentiality obligations no less protective than these terms, and a subcontractor who handles personal data on your behalf is a sub-processor, to whom 7.7 applies. We do not use your data, or allow our providers to use it, to train AI models. The AI features in your admin are separate: they use the provider your admin chooses, under your own agreement with that provider, as the privacy notice explains.

02

Your account

2.1 You are responsible for what happens under your account, including what the people you invite to it do. Keep sign-in details private; use passkeys or two-step sign-in where offered; tell us straight away if you think an account has been used without permission.

2.2 You must be at least 18, or a business, to hold an account. If you open an account for a company or organisation, you confirm that you are entitled to bind it to these terms.

2.3 You may invite other people to your admin and give them roles. What they can see and do is decided by the roles you give them, and you are responsible for keeping those appropriate.

03

Your content

3.1 Everything you put on the platform - pages, images, products, listings, event details, mailing lists, records of your customers and members - stays yours. We claim no ownership of it.

3.2 You give us a licence to store, copy, transform and transmit your content only as far as is needed to provide the service: to publish it on your site, to back it up, to send the emails you ask us to send, to build the image sizes a page needs, and to show it in your admin.

3.3 You are responsible for having the right to use what you publish, for it being lawful, and for what you send to the people on your lists. In particular you must have a lawful basis for every email campaign you send and honour every unsubscribe, and you must not upload anything that infringes another person's rights, is defamatory, or is illegal in the United Kingdom or in the country you operate from.

3.4 We do not routinely review your content. If we receive a credible complaint, or if content puts the platform or other customers at risk, we may take it down and will tell you why. Where we can, we will ask you first.

04

Acceptable use

4.1 You must not use the platform to send unsolicited bulk email, to host malware or phishing pages, to attack other systems, to scrape or harvest personal data without a lawful basis, or to store or distribute material that is illegal.

4.2 You must not attempt to gain access to parts of the platform, or to other customers' installs, that your account does not cover, or to interfere with the service's operation. Security research is welcome when it is coordinated with us first.

4.3 Reasonable-use limits apply to storage, email volume, and outgoing traffic. They are set so that normal use of a site of your plan's size never meets them. If you approach a limit we will tell you and discuss the right plan, rather than cut you off.

05

Fees and billing

5.1 Plans are priced per site, monthly or annually, plus any add-ons you turn on. The price, currency and billing interval are shown in your admin before you commit, and on every invoice.

5.2 Fees are billed in advance through our payment provider (Stripe) to the card or method on file, and each charge produces an invoice you can find in your admin. If a payment fails we will retry it and tell you; if it keeps failing, your site may be paused (taken offline but not deleted) until the balance is settled.

5.3 The Free plan. The Free plan costs nothing for a free period shown when you sign up (180 days at the date of these terms). When you sign up we ask for a card or other payment method, but we charge nothing to it during the free period. When the free period ends, the Free plan continues at the monthly price shown when you signed up (£2.99 a month at the date of these terms), charged to that payment method monthly in advance until you cancel, and each charge produces an invoice in your admin. The date of the first charge is shown in your admin from the day you sign up. You may cancel at any time before the free period ends and nothing will be charged; your site stays available until the free period ends and is then treated as set out in 9.3. Paid plans are charged from the day you sign up, with no free period unless your admin says otherwise.

5.4 Your plan's price is fixed for its term, which is twelve months from when it starts. We may change our prices: a change to a plan's price applies to new customers straight away, and to you from your next renewal, after at least thirty days' notice by email and in your admin. Add-ons are not fixed for the term; a change to an add-on's price applies from your next billing period after the same thirty days' notice. If you do not accept a change you may cancel before it takes effect.

5.5 The prices we show are what you pay. Once we are registered for VAT they include it, and your invoice shows the VAT element.

06

Availability, support and backups

6.1 We aim to keep every site available at all times, and to publish maintenance that needs downtime in advance. The service is provided on a "reasonable endeavours" basis; we do not promise uninterrupted availability, and credits for downtime are given only where your plan says so.

6.2 Support is provided through the tickets tool in your admin and the documentation there. Response times depend on your plan and the care level you have chosen.

6.3 We take regular backups of your content and the platform, and can restore your site from them on request. Backups are for recovery from failure, not an archive service; if you need a copy of your data, use the export tool in your admin (see 9.3).

07

Data protection

7.1 For the personal data you keep on the platform - your customers, members, donors, applicants, the people who send you enquiries and the people on your lists - you are the controller and we are your processor. Our privacy notice describes what we do with it, the sub-processors we use, and where it is kept. This clause and the notice together form the data processing agreement between us, and are called the processing terms.

7.2 We process that data only on your instructions (which include using the platform as designed), keep it confidential, keep it secure, help you answer requests from the people it is about, delete or return it at the end of the agreement, and tell you without undue delay if we become aware of a personal data breach affecting it.

7.3 Data is stored and processed in the United Kingdom and the European Economic Area, except where a sub-processor listed in the privacy notice processes it elsewhere under appropriate safeguards.

7.4 Details of processing. The subject matter, nature and purpose of processing is the provision of the service; its duration is the term of the agreement. The personal data and the people it relates to are those described in the privacy notice, and any further detail in the proposal or order agreed with you.

7.5 Personnel. Everyone we authorise to process your personal data is bound by a duty of confidentiality.

7.6 Instructions. We will tell you straight away if we think an instruction from you breaks data protection law.

7.7 Sub-processors. You give general authorisation for the sub-processors listed in the privacy notice. We will give you at least 30 days' notice of a new one; if you object on reasonable grounds and we cannot resolve it, you may end the affected service without penalty. We impose the same data protection obligations on each sub-processor by contract, and remain liable to you for their performance.

7.8 Assistance. Taking into account the nature of the processing, we will help you meet your obligations on security, breach notification, data protection impact assessments and prior consultation with the ICO.

7.9 Audit. We will make available the information reasonably needed to show that we meet this clause, and allow audits by you or an auditor you appoint, on reasonable notice, no more than once a year unless a breach or regulator requires otherwise.

7.10 End of processing. At the end of the agreement we delete or return your personal data, as you choose, unless the law requires us to keep it (see 9.3 for timing).

08

Intellectual property and confidentiality

8.1 The platform - its software, designs, templates, starter kits and documentation - belongs to us or our licensors. You may use it to run your site while you have an account; you may not copy it, resell it, reverse-engineer it or use it to build a competing service.

8.2 Templates and starter kits we provide may be used freely on sites hosted with us. If you leave the platform, you may keep the content and any HTML we export for you, but not the templates' source.

8.3 Confidentiality. Each of us will keep confidential the other's business information that is marked as confidential, or that a reasonable person would understand to be confidential - for you, that includes your plans, prices, customer and supplier details, and the contents of your install and any system we connect to it - and will use it only to provide or receive the service. This does not apply to information that is or becomes public other than through a breach of this clause, that the receiving party already had or develops independently, or that must be disclosed by law or by a regulator, in which case the party disclosing it will tell the other first where the law allows. Each of us may share the other's confidential information only with our own staff, subcontractors and professional advisers who need it for the service and are bound by confidentiality obligations no less protective than this clause. This clause continues for five years after the agreement ends, and for as long afterwards as the information remains a trade secret. Personal data is also covered by clause 7.

09

Ending the agreement

9.1 You may cancel at any time from your codanomiq account (reached from Account in your admin), or by asking us through the tickets tool. Cancellation takes effect at the end of the current billing period; there is no refund of that period's fee unless we have ended the agreement under 9.2 or failed to provide the service.

9.2 We may suspend or end your account on notice if you break these terms, if a payment remains unpaid after our reminders, or if we are required to by law. Where the breach can be put right, we will give you a reasonable chance to do so first.

9.3 For thirty days after the agreement ends you may export your data from your admin - your content, records and files, in open formats - and we will keep your site's data available for that purpose. After that we delete it, except for backups, which expire within ninety days, and records we must keep for tax or legal reasons.

10

Liability

10.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

10.2 Subject to 10.1, we are not liable for loss of profit, loss of business, loss of data that you could have exported or that we restore from backup, or for indirect or consequential loss; and our total liability to you in any twelve-month period is limited to the fees you paid us in that period.

10.3 The service is provided "as is" for use with the tools it offers. You are responsible for deciding whether it is suitable for your purpose, for the content you publish, and for complying with the law that applies to your business.

11

General

11.1 We may transfer this agreement to a successor of our business; you may not transfer it without our consent.

11.2 If a part of these terms is found unenforceable, the rest still applies.

11.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers resident elsewhere in the United Kingdom may bring proceedings in their own part of it.

11.4 We may update these terms. The version and date at the top tell you which one applies; material changes are announced in your admin at least thirty days before they take effect, and continuing to use the service after that date accepts them. If a change reduces the protection the processing terms give your personal data, you may instead end the affected service without penalty by telling us before the change takes effect, and we will refund any fee you have paid for the period after it ends.
